Unless otherwise specified in a separate Service Agreement, upon full payment, clients receive ownership of the custom work products (deliverables) created specifically for them. Cosette Network retains ownership of all pre-existing materials, methodologies, tools, and frameworks used in delivering the Services.
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use our Services for your internal business purposes.
You may not reproduce, distribute, modify, create derivative works of, publicly display, or exploit any part of our Services without our express written permission.
Both parties agree to maintain the confidentiality of any proprietary or confidential information disclosed during the course of business.
This confidentiality obligation survives the termination of these Terms and any Service Agreement.
Payment terms for our Services are governed by the specific Service Agreement or proposal. General terms include:
Prices are as quoted in proposals or Service Agreements and are subject to change with notice.
Payment milestones are defined in individual Service Agreements, typically requiring deposits and milestone payments.
Overdue payments may incur interest at 1.5% per month or the maximum rate permitted by law.
All fees are exclusive of taxes. You are responsible for applicable taxes except those based on our income.
We reserve the right to suspend Services for accounts with overdue payments exceeding 30 days.
We warrant that our Services will be performed in a professional and workmanlike manner consistent with industry standards. We will make reasonable efforts to correct any defects in deliverables reported within 30 days of delivery.
EXCEPT AS EXPRESSLY PROVIDED HEREIN, OUR SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, STATUTORY, OR OTHERWISE, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, AND NON-INFRINGEMENT.
We do not warrant that our Services will be uninterrupted, error-free, secure, or meet all your specific requirements. Any reliance on our Services is at your own risk.
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW:

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

We encourage you to contact us first to resolve any disputes informally. Most concerns can be resolved quickly and amicably.

If informal resolution fails, parties agree to attempt mediation before pursuing arbitration or litigation.
Any unresolved disputes shall be settled by binding arbitration in accordance with the rules of the applicable arbitration authority.
Class Action Waiver: You agree that any dispute resolution proceedings will be conducted only on an individual basis and not in a class, consolidated, or representative action.

These Terms, together with any Service Agreements, constitute the entire agreement between you and Cosette Network.
If any provision is found unenforceable, the remaining provisions will continue in full force and effect.

Neither party shall be liable for delays or failures due to circumstances beyond reasonable control.
